TERMS OF
SERVICE.
Effective date: 1 November 2024 · Last updated: 1 November 2024
Please read these terms carefully before using the Zenegia platform. By accessing the Service, you agree to be bound by these terms.
1. Acceptance of Terms
By accessing or using the Zenegia platform ("Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a company or organisation, you represent that you have authority to bind that entity. If you do not agree to these terms, do not use the Service.
2. Description of Service
Zenegia provides email deliverability intelligence, reputation monitoring, pre-send risk assessment, sending authorisation controls, and revenue attribution infrastructure. The Service is intended for legitimate business use by organisations sending commercial, transactional, or operational email. Use for spam, phishing, or any unsolicited bulk email is strictly prohibited and will result in immediate account termination.
3. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials, all activity that occurs under your account, ensuring your sending practices comply with applicable laws (CAN-SPAM, GDPR, CASL, etc.), and maintaining the quality and legitimacy of your sending lists. You must notify Zenegia immediately of any unauthorised account access.
4. Acceptable Use
You may not use the Service to send unsolicited email (spam), conduct phishing or fraud, violate any applicable law or regulation, resell or sublicense the Service without written authorisation, or interfere with the platform's operation or security. Zenegia reserves the right to suspend accounts that violate this policy without notice.
5. Billing and Overage
Subscription fees are billed monthly in advance. Overage charges (sends above your plan allowance) are billed in arrears on your next invoice at the rates published on the pricing page. All fees are non-refundable except as required by applicable law. Zenegia reserves the right to modify pricing with 30 days' written notice.
6. Uptime and SLA
Zenegia targets 99.9% platform uptime. Scheduled maintenance windows are communicated via the status page and email. SLA credits for downtime exceeding the target are available on Pro and Agency tiers per the terms described in your plan agreement. Credits do not apply to outages caused by third-party services or force majeure events.
7. Intellectual Property
All platform code, algorithms, scoring models, and proprietary data remain the exclusive property of Zenegia. You retain ownership of your data. By using the Service, you grant Zenegia a limited licence to process your data solely to deliver the Service and improve its performance.
8. Limitation of Liability
To the maximum extent permitted by law, Zenegia's liability for any claim arising from these terms or the Service is limited to the fees you paid in the 3 months preceding the claim. Zenegia is not liable for indirect, incidental, or consequential damages, including lost revenue, lost data, or business interruption.
9. Termination
Either party may terminate the Service with 30 days' written notice. Zenegia may terminate immediately for material breach, non-payment, or acceptable use violations. On termination, your data is retained for 90 days and then deleted, unless earlier deletion is requested.
10. Governing Law
These terms are governed by the laws of the jurisdiction in which Zenegia is incorporated. Any disputes shall be resolved through binding arbitration, except where prohibited by law. The prevailing party in any dispute is entitled to reasonable legal fees.
